Terms of Service

By accessing or using TPS Coaching Lab (the "Platform"), submitting a candidate intake, attending a coaching session, or accessing any content provided by The Promotional Standard LLC ("TPS," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform.

All content, instructional materials, frameworks, methodologies, assessments, scorecards, prompts, scenarios, video lessons, written guides, infographics, software, interfaces, and other materials made available through the Platform — including but not limited to the CLEAR, LEAD, and STARS frameworks — are the exclusive property of The Promotional Standard LLC and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

No license, right, title, or interest in any TPS intellectual property is transferred to you by these Terms. Your access to the Platform grants you a limited, revocable, non-exclusive, non-transferable, personal-use license solely for your own preparation and professional development as a paying client.

You may not, and you may not permit any third party to:

• Reproduce, copy, distribute, publish, broadcast, sell, license, sublicense, or otherwise commercialize any portion of the Platform or its content.
• Reverse engineer, decompile, disassemble, scrape, or otherwise attempt to derive the source code, structure, or underlying methodology of the CLEAR, LEAD, STARS frameworks, or any other TPS content or software.
• Redistribute, share, post, upload, or transmit any TPS frameworks, prompts, scenarios, assessments, or coaching materials to any other individual, department, training program, social media platform, file-sharing service, or AI training dataset.
• Use TPS content to train, fine-tune, or otherwise develop any artificial intelligence model, machine learning system, or competing coaching product or service.
• Create derivative works based on TPS frameworks or repackage TPS methodology under a different name.
• Use the Platform to teach, coach, mentor, or train any other candidate, department, or organization for compensation or otherwise.

Violation of this Section is a material breach of these Terms and may result in immediate termination of access, civil liability, and referral for criminal prosecution where applicable.

Access credentials issued to you (including resource portal passwords, login credentials, and personalized intake links) are strictly personal and non-transferable. You agree that:

• You will not share your credentials with any other person under any circumstances.
• You will not access the Platform, submit content, or attend sessions on behalf of any other person.
• You are responsible for all activity occurring under your credentials and must notify TPS immediately of any unauthorized use.
• Departments enrolled in cohort coaching may only grant access to candidates listed on the cohort roster.

All coaching sessions, written assessments, scorecards, and feedback exchanged between you and your coach are confidential. You agree to maintain the same confidentiality with respect to any TPS content disclosed to you and any other candidate's information you encounter through cohort participation.

TPS provides preparation and coaching services. We do not guarantee promotion, assessment center scores, hiring outcomes, or any other professional result. Performance depends on factors outside TPS's control.

TPS may suspend or terminate your access to the Platform at any time, with or without notice, for any violation of these Terms. Upon termination, all licenses granted to you terminate and you must cease all use of TPS content.

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the fullest extent permitted by law, TPS disclaims all warranties, express or implied. In no event shall TPS's aggregate liability exceed the amount you paid for coaching services in the twelve (12) months preceding the claim.

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Denver, Colorado, and you consent to the personal jurisdiction of those courts.

TPS may update these Terms from time to time. The "Effective Date" above will reflect the most recent revision. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
